Minebea Mitsumi Inc's wholly-owned acquisition of Hitachi Power Semiconductor
On November 2nd, Hitachi Manufacturing Co., Ltd. (referred to as "Hitachi") announced the transfer of all shares (totaling 450000 shares) of its wholly-owned subsidiary Hitachi Power Semiconductor Co., Ltd. (referred to as "Hitachi Power Semiconductor") to Mineba Mitsumi Inc., and signed the contract today.
Hitachi stated that they have had repeated negotiations with Hitachi Power Semiconductor on how to further develop and enhance corporate value. After repeated discussions, both parties believe that in order to ensure the sustainable development of Hitachi Power Semiconductor in the rapidly growing power semiconductor market in the future, the best solution is to expand production capacity and improve manufacturing efficiency under the management of Minebea Mitsumi Inc. (positioning the analog semiconductor business as one of its core businesses).
Hitachi will use the funds obtained through the transfer of this share to invest in the development of green energy and service businesses in the energy sector, striving to further enhance corporate value.
It is reported that in October 2013, Hitachi integrated the business of Hitachi and Hitachi Haramacho Electronics Co., Ltd. to establish Hitachi Power Devices Co., Ltd., aiming to build an integrated system of power semiconductor business from design, manufacturing to sales. Since then, in the field of power semiconductors, which are key components for electrification and electrification of industrial and social infrastructure, Hitachi has been focusing on three main product groups: "IGBT · SiC", "high voltage withstand IC", and "diode". By utilizing high voltage withstand and low loss technologies, Hitachi has provided high value-added products.
Hitachi pointed out that IGBT · SiC fully leverages its advantages in high durability and reliability accumulated in rail applications, and is committed to high-speed growth market areas such as rail, electric vehicles such as EVs, and inverters for wind turbines that are expected to contribute to achieving a low-carbon society. It has been adopted by many customers both domestically and internationally. In addition, in terms of high voltage withstand ICs used in industry and home appliances, Hitachi fully utilizes the knowledge and experience gained in providing products to numerous fields, and contributes to improving the efficiency of customer systems and reducing noise through motor control technology and software. In addition, in terms of diodes, Hitachi has been providing products for automotive applications that require high reliability for many years.
